A business purchase does not itself establish immigration eligibility. Coordinate an immigration attorney, transaction counsel, tax advisor and lender before committing to a structure or timetable.

Separate the immigration and acquisition analyses
Ask immigration counsel which category is relevant to the buyer and what the proposed business must demonstrate. E-2 and EB-5 are different processes; a wash’s price, revenue or employee count should not be treated as proof that either is suitable.
The USCIS EB-5 overview is an official starting point. Obtain category-specific current advice, including the buyer’s nationality, immigration history, ownership, source of funds and operating intentions. No eligibility or investment threshold is asserted here.
Review financing before offering
Have the lender evaluate the proposed owners, status, guarantees and sources of equity under the program being considered. Do not assume SBA-backed financing is available to the buyer because the target business is otherwise eligible.
Document fund availability, transfer timing and any approvals needed. Currency conversion, banking procedures and external approvals can affect closing readiness. Avoid presenting conditional funds as cash already available.
Protect the commercial decision
Perform the same financial, equipment, property and environmental diligence as a domestic buyer. A visa objective does not justify paying for unsupported earnings. Separate the business’s standalone case from the immigration plan.
Ask counsel how contingencies, deposits, deadlines and representations should reflect the actual approval risk. Use advisors’ written guidance to coordinate timing; a broker cannot promise immigration approval or cure an incompatible structure.
Prepare the professional team’s file
Organize the ownership chart, operating plan, funding evidence and proposed asset/property scope. Use secure advisor-directed channels for personal and immigration documents. Do not place passports, immigration records or financial statements in a public website form.
