A ground lease needs its own review of term, improvements, assignment and what happens when the right to occupy ends. Do not treat it as an ordinary month-to-month occupancy cost or assume the equipment and building have the same ownership.

Identify who owns each component
Map the land, building, equipment and improvements to the actual owner and documents. Review the lease, amendments, recorded instruments and related agreements. Determine whether the seller can transfer what the purchase proposal describes and what rights remain with the landlord.
Ground-lease arrangements can allocate obligations differently. Have counsel explain the relevant terms instead of applying a general definition to every site. Include easements, access and utility rights that are essential to operating the wash.
Examine the full control horizon
Record the remaining term, renewal procedure, notice deadlines, rent changes and conditions for exercising options. Ask what can interrupt occupancy and what remedies exist after default. A renewal mentioned in conversation is different from an enforceable option available to the buyer.
Discuss lender requirements for term, assignment and protections. A buyer’s long financing horizon and capital plan should be tested against documented site control. Do not assume an attractive asking price compensates for a lease that cannot support the plan.
Price improvements with the lease in mind
Clarify alteration permissions, maintenance, taxes, insurance, restoration and ownership at lease expiry or termination. Estimate any required work using scoped quotes. Your forecast needs to recognize which improvements you can use, remove, transfer or potentially lose.
Model rent changes and a period of lower sales alongside debt and equipment reserves. If a redevelopment thesis is part of the price, verify rights and approvals separately. Landlord consent to operating today does not automatically authorize a different format tomorrow.
Resolve transfer before funds are committed
Identify consent documents, landlord notices, estoppels where applicable and the party responsible for securing them. Counsel and the lender should review the actual conditions. Keep lease negotiations and purchase contingencies coordinated so one does not expire while the other remains unresolved.
Schedule a call to discuss the business and property scope together. Jason can organize the commercial questions, while your attorney and lender decide whether the ground lease supports the intended acquisition and capital commitments.
