Give buyers a consistent file that explains sales, costs, assets and adjustments without a verbal reconstruction. Clean presentation helps review; it does not guarantee a price or replace accurate underlying records.

Choose periods that can be reconciled
Organize annual returns, monthly statements, balance sheets and payment reports for matching periods. Explain accounting basis and any change of accountant or classification. Retain earlier versions where needed to understand corrections rather than silently overwriting a discrepancy.
Reconcile cash and card sales, membership billing, refunds and fleet receipts. Explain timing differences between reported revenue and deposits. Remove sales tax collected from a revenue comparison where the accounting treatment requires it, with the accountant confirming the presentation.
Explain expenses and owner involvement
Identify owner compensation and actual duties, related-party payments, equipment leases and occupancy costs. Prepare a role description alongside the financial bridge so a buyer can evaluate replacement costs. Do not label normal recurring obligations personal merely because the owner paid them.
For proposed adjustments, show the document, period, amount and reason. Keep speculative revenue improvements outside history. A short list of clearly supported items is preferable to a larger list that cannot survive review.
Include the balance sheet and open obligations
List receivables, unpaid bills, loans, customer prepayments, inventory and deposits. Describe major repairs and capital expenditure separately. Buyers and lenders need to understand cash requirements that an income statement does not show.
Agree on debt, cash and working-capital treatment with advisors when developing transaction terms. The file should support the agreement's definitions rather than introduce incompatible totals. Any tax allocation belongs in the CPA-led review of the actual structure.
Share the file through a controlled process
Separate seller-blind summary information from identifying documents. Use agreed confidentiality and qualification steps, with unnecessary personal or customer identifiers minimized. Keep an index and version date so recipients know which statement they are reviewing.
Book a call with Jason before sending the complete file. Start with format, location and goals, then agree on a private path for records and a focused list of what the buyer will need next.
Your decision worksheet
Use these questions to identify the records and decisions that matter to this topic. Bring the open items to your conversation; detailed documents can follow through an agreed private process.
| Question to resolve | Evidence to bring | Why it matters |
|---|---|---|
| Can every period be traced? | Versioned statements and matching source records. | Explain corrections and timing differences reproducibly. |
| What backs each owner adjustment? | Payroll, invoices and a required-duty description. | Keep expense removal consistent with the work that remains. |
| What do buyers need beyond the P&L? | Debt, payables, deposits and capital-work schedules. | Avoid a clean-looking summary that omits cash obligations. |
| How will private records be released? | Document index, approved recipients and secure channel. | Provide useful evidence without unnecessary personal-data exposure. |
