Compare the rights, restrictions and full operating costs of the specific franchise agreement with an independent operation. A recognizable brand and an independent owner’s flexibility solve different problems.

Compare control over the operating decisions
List who controls prices, promotions, suppliers, technology, service menu and physical improvements. An independent operator must build its own systems; a franchise may provide a system with conditions. Obtain the actual agreements rather than extrapolating from a brand’s public marketing.
Ask whether a resale requires consent, training, refurbishment or new terms. Confirm the location’s territory and any limitations on nearby development. These are legal and commercial questions for the exact contract.
Model all continuing payments and capital obligations
Include fees, required purchasing, software, marketing contributions, maintenance and expected upgrades. Compare cash flow after these obligations with the independent alternative’s own support and marketing costs. A royalty percentage alone is not the full cost comparison.
Separate historical sales from a forecast based on brand recognition. Request site-level collections, membership retention and operating costs for the target itself. This guide asserts no brand-specific Illinois performance advantage.
Evaluate the property and equipment equally
Wash format, access, stacking, lease duration and condition still matter. A strong operating system cannot extend a short ground lease or create unavailable utility capacity. Obtain inspections and verify property rights regardless of brand.
Discuss financing with a lender using the ownership and franchise documents. Eligibility, approvals and credit conditions depend on the transaction. Do not assume a recognizable brand automatically makes a deal financeable.
Make the decision on the whole arrangement
Choose the model that matches the buyer’s experience, support needs, capital and desired control. Have counsel review the current disclosures and agreements. Public comparisons should not replace the site’s actual records or the buyer’s written obligations.
