Define the note separately from price

Specify principal, interest, amortization, maturity, any balloon and payment timing. Identify the borrower and guarantors, if proposed. A note described as part of the price should still have its own schedule so both sides understand what is due now and later.

Keep holdbacks and contingent payments separate from fixed note obligations. Each depends on different conditions and risks. The homepage sale scenario deducts these deferred amounts from immediate closing cash; it does not assume they will be collected.

Review security and priority

Have counsel assess collateral, lien perfection, remedies and personal guarantees for the actual agreement. Ask the senior lender what terms, subordination or payment restrictions it requires. Do not assume seller debt counts as borrower equity or can be paid immediately under a financing program.

Identify what happens after default, a sale, further borrowing or a material change in operations. A security label does not ensure sufficient recoverable value. Seller control and information rights should be reviewed alongside commercial terms.

Test the buyer's full payment burden

Combine all debt payments with required staffing, occupancy, capital reserve and working-cash needs. Use supportable earnings rather than future improvements to justify the obligation. A lower upfront payment can still create an unmanageable ongoing burden or a large maturity payment.

Model weaker earnings and the actual balloon if one is proposed. The homepage buyer model assumes a fully amortizing loan and does not evaluate balloon refinancing. Have the lender and advisors review the complete financing structure.

Compare net results for the seller

Ask the CPA about timing, interest, allocation and applicable tax treatment rather than assume all proceeds qualify for installment reporting. Consider liquidity needs and the cost of monitoring or enforcing the note. A higher nominal price may not justify the added risk.
